Co-Host Agreement

A courtesy resource for Hosts and Co-Hosts who wish to formalize their arrangement. This document governs the relationship between a Host and their Co-Host — not between either party and Catalani Locations.

Overview & Purpose

This Co-Host Agreement (“Agreement”) is entered into between the Host (the listing owner) and the Co-Host (the person or entity assisting the Host in managing their listing) as identified in the signature block below.

The purpose of this Agreement is to define the roles, responsibilities, compensation, and terms of the co-hosting arrangement for listings on the Catalani Locations platform. It is intended to protect both parties by establishing clear expectations in writing.

This is a private agreement. It governs only the relationship between the Host and the Co-Host. Catalani Locations is not a party to this Agreement and assumes no obligations under it.

Catalani Locations Is Not a Party

Important: Catalani Locations is not a party to this Agreement. The platform does not create, endorse, or assume any obligations under the terms agreed to between a Host and Co-Host. The formation of this Agreement does not create any employment, agency, partnership, joint venture, or other relationship between Catalani Locations and either party.

Catalani Locations is not responsible for:

  • Enforcing the terms of this Agreement.
  • Mediating disputes between the Host and Co-Host.
  • Guaranteeing the payment of any compensation agreed to between the parties.
  • Verifying the legal sufficiency of this Agreement.

If the Host and Co-Host wish to enter into a more comprehensive or legally binding arrangement, they are encouraged to work with a qualified attorney to prepare a formal contract suited to their specific circumstances. That is entirely the responsibility of the parties — not of Catalani Locations.

The Host remains the sole account holder and listing owner on the Platform. The Host bears all obligations toward Catalani Locations under the Platform’s Terms of Service, regardless of the terms agreed to between the Host and Co-Host in this Agreement.

Roles & Responsibilities

3.1 Host Responsibilities

The Host (listing owner) is responsible for:

  • Maintaining the Catalani Locations account and ownership of all listings.
  • Setting listing prices, availability, and house rules.
  • Ensuring the listing complies with all applicable laws, regulations, and Platform policies.
  • Handling all major decisions regarding the listing, including lease or legal obligations.
  • Paying Catalani Locations platform fees and fulfilling all obligations under the Platform’s Terms of Service.
  • Informing the Co-Host of any changes to the listing, pricing, or booking rules.

3.2 Co-Host Responsibilities

The Co-Host’s duties shall be agreed upon by both parties and may include any combination of the following (check or specify in the template below):

  • Communicating with Renters before, during, and after bookings.
  • Coordinating property access, keys, or entry codes.
  • Conducting or coordinating walkthroughs and inspections.
  • Overseeing cleaning and maintenance.
  • Managing vendor relationships (cleaners, repair professionals, etc.).
  • Updating the listing calendar and availability.
  • Providing on-site support during bookings.
  • Handling damage reports and follow-up on the Host’s behalf.
  • Other duties as mutually agreed.
Scope: The Co-Host may not make major legal, financial, or listing ownership decisions without explicit written authorization from the Host. The Co-Host does not have authority to enter into contracts on behalf of the Host unless expressly authorized.

Compensation & Payouts

4.1 Co-Host Payout

In consideration of the Co-Host Services, the Host agrees to compensate the Co-Host as specified in this Agreement. Compensation may take the form of:

  • A percentage of each booking’s net payout (after Platform Fees).
  • A fixed fee per booking.
  • A flat monthly retainer.
  • A combination of the above.

The exact compensation structure shall be specified in the fillable template below. Both parties acknowledge that Co-Host compensation rates typically range from 10% to 30% of net booking revenue, depending on the scope of responsibilities.

4.2 Platform Payout Splits

Where the Catalani Locations Platform supports payout splitting, the Host may instruct the Platform to direct a portion of each booking payout to the Co-Host’s registered account. Both parties must confirm any payout split arrangement on the Platform before it takes effect.

The Host acknowledges that they are solely responsible for the accuracy of any payout split instructions and that Catalani Locations is not a party to the compensation arrangement between the Host and Co-Host.

4.3 Expense Reimbursement

If the Co-Host incurs pre-approved out-of-pocket expenses on behalf of the Host (such as cleaning supplies, minor repairs, or vendor payments), the Host agrees to reimburse such expenses within the timeframe specified in this Agreement, upon receipt of documentation.

4.4 Payment Timing

Unless otherwise agreed, Co-Host payments shall be issued within 5 business days of the Host receiving their payout from the Platform for each completed booking (or on the agreed schedule for flat-fee arrangements).

Permissions & Platform Access

The Host may grant the Co-Host access to the Catalani Locations Platform to perform their duties. The level of access granted shall be determined by the Host and must be consistent with the Platform’s co-host permission settings.

The Co-Host agrees to:

  • Use Platform access solely for purposes related to managing the Host’s listing(s).
  • Not share login credentials or provide Platform access to any third party.
  • Comply with all Platform Terms of Service while acting as Co-Host.
  • Immediately notify the Host if they become aware of any unauthorized access or security issue.

The Host may revoke Platform access at any time. Upon removal, the Co-Host will no longer have access to any Host or Renter information associated with the listing.

Liability & Indemnification

6.1 Host Liability

The Host remains primarily liable for the listing, the property, and all obligations toward Renters and the Platform. The Host acknowledges that, under the Platform’s Terms of Service, they are responsible for the acts and omissions of their Co-Host.

6.2 Co-Host Liability

The Co-Host agrees to perform their duties with reasonable care and in compliance with applicable laws. The Co-Host shall be liable to the Host for any losses, damages, or costs caused by the Co-Host’s gross negligence or willful misconduct.

6.3 Mutual Indemnification

Each party agrees to indemnify and hold harmless the other from any claims, losses, or expenses arising from their own actions, omissions, or breach of this Agreement. Neither party indemnifies the other for the other’s own negligence or misconduct.

6.4 Insurance

The Host is responsible for maintaining appropriate insurance for the listed property. The Co-Host is encouraged to obtain their own liability insurance to cover activities performed in connection with their co-hosting duties. Neither party shall be responsible for the other’s failure to obtain adequate insurance.

Taxes

Each party is solely responsible for determining and fulfilling their own tax obligations arising from this arrangement. The Host and Co-Host are independent of each other for tax purposes — this Agreement does not create an employer-employee relationship.

The Co-Host is responsible for reporting any compensation received as income as required by applicable law. The Host is not required to withhold taxes on behalf of the Co-Host unless required by law.

Both parties are encouraged to consult a qualified tax advisor regarding their obligations. Catalani Locations does not provide tax advice.

Confidentiality

During and after the term of this Agreement, the Co-Host agrees to keep confidential all non-public information relating to the Host’s property, booking history, Renter personal information, and financial arrangements.

The Co-Host shall not disclose Renter personal information to any third party and shall use such information only to fulfill their co-hosting duties. This obligation survives termination of this Agreement.

Term & Termination

9.1 Term

This Agreement begins on the date both parties sign it and continues until terminated by either party in accordance with this Section.

9.2 Termination by Either Party

Either party may terminate this Agreement at any time with written notice. The parties agree that the notice period shall be as specified in the template below (recommended: 14–30 days for an orderly transition).

9.3 Effect of Termination

Upon termination:

  • The Host shall revoke the Co-Host’s Platform access promptly.
  • The Co-Host shall return or destroy any confidential information of the Host.
  • The Co-Host shall be entitled to any compensation earned for bookings completed prior to the termination date.
  • The Co-Host shall have no entitlement to compensation for bookings occurring after the termination date, even if those bookings were originally secured during the co-hosting term, unless otherwise agreed in writing.

9.4 Termination by Catalani Locations

Note: Catalani Locations reserves the right to remove a Co-Host’s Platform access at any time in accordance with the Platform’s Terms of Service. Such removal does not create any liability for Catalani Locations under this Agreement.

Disputes Between Host & Co-Host

Any dispute arising out of or relating to this Agreement shall first be addressed through good-faith negotiation between the parties. If not resolved within 30 days, the parties agree to submit the dispute to mediation before pursuing litigation.

This Agreement shall be governed by the laws of the state specified by the parties below (or, if not specified, the State of Florida).

Catalani Locations is not a mediator or arbitrator for disputes between Hosts and Co-Hosts. Neither party should contact the Platform to resolve private co-hosting disputes. The Platform does not assume any responsibility for the resolution of such disputes.

General Provisions

11.1 Independent Contractors

The Host and Co-Host are independent contractors. Nothing in this Agreement creates an employer-employee, partnership, joint venture, or agency relationship between the parties or between either party and Catalani Locations.

11.2 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior discussions, representations, or agreements. Modifications must be made in writing and signed by both parties.

11.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.4 No Assignment

Neither party may assign their rights or obligations under this Agreement without the prior written consent of the other party.
